1. Introduction

These Terms and Conditions ("Terms") govern the use of The Concierge mobile application and web platform (collectively, the "Platform"), operated by The Concierge LLC, a company registered in Dubai, United Arab Emirates ("The Concierge", "Company", "we", "us", or "our").

By accessing, registering on, or using the Platform, you agree to be legally bound by these Terms. If you do not agree, you must not use the Platform.

2. Definitions

  • Customer: A registered user who submits service requests and purchases concierge services.
  • Concierge: A registered service provider offering concierge services through the Platform.
  • Offer: A proposal submitted by a Concierge in response to a Customer request.
  • Service Fee: The amount payable to the Concierge for services rendered.
  • Platform Fee: The fee retained by The Concierge LLC for platform usage, administration, and payment processing.
  • Digital Delivery: Any non-physical confirmation of service completion, including but not limited to booking IDs, reservation confirmations, or access credentials.

3. Platform Role and Neutrality

The Concierge LLC operates solely as a technology platform and intermediary facilitating interactions between Customers and Concierges. We are not a party to any agreement formed between Customers and Concierges and do not provide concierge services ourselves.

4. Customer Accounts

4.1 Registration and Verification

  • Register with accurate, complete, and truthful information.
  • Successfully verify their identity and any requested documentation.
  • Maintain updated account information at all times.

4.2 Customer Conduct

  • Engage in illegal, fraudulent, abusive, or deceptive activities.
  • Submit requests involving prohibited or unlawful services.
  • Attempt to circumvent platform rules or payment systems.
  • Abuse, harass, threaten, or manipulate Concierges or the Platform.

4.3 Suspension and Termination (Customers)

The Concierge LLC reserves the right to suspend or terminate a Customer account, without refund, if the Customer:

  • Engages in spam, fraud, or abuse.
  • Violates applicable laws or these Terms.
  • Attempts to bypass platform controls or monitoring.
  • Uses the Platform for illegal or unethical purposes.

5. Concierge Accounts

5.1 Registration, Verification, and Compliance

  • Provide accurate personal, address, and tax information.
  • Submit valid legal documentation upon request.
  • Pass identity and compliance verification procedures.
  • Maintain ongoing compliance with all applicable laws.

5.2 Legal Responsibility

  • All services offered are legal in the relevant jurisdiction.
  • They hold all required licenses, permits, and approvals.
  • They act as independent contractors, not employees or agents of The Concierge LLC.

5.3 Prohibited Activities

  • Offer illegal, restricted, or unethical services.
  • Provide false or misleading information.
  • Attempt to move transactions or communication off-platform.
  • Share personal contact details with Customers.

5.4 Suspension, Withholding, and Termination

The Concierge LLC reserves the right to:

  • Suspend or terminate Concierge accounts.
  • Withhold any pending or accrued payouts.
  • Deny payout rights entirely.

If a Concierge:

  • Engages in illegal activities.
  • Provides illegal services.
  • Submits false documentation.
  • Violates these Terms or applicable law.

Such withholding shall occur without entitlement to payout or compensation.

6. Offers, Payments, and Delivery

6.1 Offer Acceptance

  • Customers may review and accept Offers at their discretion.
  • Acceptance forms a binding agreement between Customer and Concierge.

6.2 Payments

  • Payments are processed exclusively through the Platform.
  • Customers agree to pay the Service Fee and any applicable Platform Fees.
  • Payment processing fees, if applicable.
  • Fees and percentages are displayed transparently within the App and may vary.

6.3 Payouts to Concierges

  • Concierge payouts are conditional.
  • Funds are credited to the Concierge account only after Customer acceptance of Digital Delivery.
  • The Concierge LLC deducts platform service fees and payment processing charges.

7. Digital Delivery Acceptance

  • Digital Delivery constitutes completion of service.
  • Customer acceptance confirms satisfactory fulfillment.
  • Once accepted, transactions are deemed final unless otherwise required by law.

8. Communication and Platform Monitoring

All communication must occur exclusively within the Platform.

  • Exchange of direct contact information is strictly prohibited.
  • The Concierge LLC may monitor, review, and moderate communications.
  • Violation may result in account suspension or termination for both parties.

9. Fees and Modifications

  • Platform and service fees may change at any time.
  • Updated fees will be disclosed within the App prior to transaction confirmation.
  • Continued use of the Platform constitutes acceptance of updated fees.

10. Suspension, Enforcement, and Legal Compliance

The Concierge LLC may take enforcement actions including:

  • Temporary suspension.
  • Permanent account termination.
  • Withholding of funds.
  • Cooperation with legal authorities.

These actions may occur without prior notice where required for legal, regulatory, or security reasons.

11. Limitation of Liability

To the maximum extent permitted by law, The Concierge LLC is not liable for acts or omissions of Customers or Concierges. We do not guarantee service quality, legality, or outcomes, and we are not responsible for disputes between users.

12. Indemnification

Users agree to indemnify and hold harmless The Concierge LLC from all claims, damages, liabilities, and expenses arising from their use of the Platform, violation of these Terms, violation of applicable laws, or disputes with other users.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the United Arab Emirates. Any disputes shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE, unless otherwise required by mandatory law.

14. Amendments

The Concierge LLC may update these Terms at any time. Changes become effective upon publication in the App or on the website.
